Terms of Service

Clear expectations make for strong partnerships. These terms define how we work together.

This page is provided for informational purposes only and does not constitute legal advice. It outlines our general terms of service and should be reviewed by qualified counsel before reliance.

Overview of Services

Sweetgrass Growth LLC, an Oklahoma limited liability company ("Sweetgrass," "we," or "us"), provides website design, development, lead generation, search engine optimization, AI-search optimization, and digital marketing services for local service businesses. These terms outline the expectations and responsibilities for both parties when engaging our services.

Acceptance of Terms

By accessing, browsing, or using this website, you agree to be bound by these Terms of Service, whether or not you become a paying client. If you do not agree with any part of these terms, you should not use our website or submit any information through our forms. These terms apply to all visitors, leads, and clients alike.

Website Use Terms

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment. You may not scrape, copy, reverse engineer, overload, or otherwise disrupt the website or its servers. This site may contain links to third-party websites (including scheduling and payment tools) that we do not control; we are not responsible for the content, policies, or practices of any third-party site.

Engagement & Proposals

Every project begins with a written proposal detailing scope, deliverables, timeline, and cost. Work commences only after the proposal is signed and any required deposit is received. Any changes to the agreed scope will be documented in a written change order before additional work begins.

Payment Terms

Project fees are typically structured as a deposit upon kickoff with the balance due at agreed milestones. Monthly retainer services are billed in advance. Invoices are due within 15 days of issuance. Late payments may pause active work until the account is brought current.

Client Responsibilities

Clients agree to provide requested content, brand assets, and timely feedback at each project milestone. Delays in providing materials or approvals may extend the project timeline accordingly. Clients are responsible for the accuracy of all content they supply and for ensuring they have the right to use any assets they provide.

Intellectual Property

Upon final payment, the client owns the design and content created for their project. Sweetgrass retains the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing. Third-party tools, plugins, and platforms remain licensed under their respective terms.

Revisions & Approvals

Each project phase includes a defined number of revision rounds in the proposal. Additional revisions beyond the agreed scope are billed at our standard hourly rate. A phase is considered approved when the client provides written sign-off, after which we proceed to the next phase.

No Guaranteed Results

Search engine rankings, website traffic, lead volume, conversion rates, and revenue are influenced by many factors outside our control, including search engine algorithms, market conditions, competitor activity, and the quality of the products or services you offer. While we apply industry best practices to maximize your results, we do not guarantee any specific ranking, traffic level, number of leads, or financial outcome. All performance figures, projections, and calculator estimates are illustrative only and do not constitute a promise or warranty of results.

Third-Party Services & AI Tools

Our services may incorporate or integrate third-party tools and artificial intelligence providers, including scheduling software (Calendly), AI-powered audit reports, analytics platforms, and payment processors. We do not control these third parties and are not responsible for their availability, accuracy, or conduct. You agree to comply with the applicable third-party terms when using any integrated tool, and you acknowledge that AI-generated outputs may contain errors and should be reviewed before reliance.

Limitation of Liability

To the fullest extent permitted by law, Sweetgrass is not liable for indirect, incidental, special, or consequential damages, including lost revenue, lost profits, or business interruption, arising from the use of our services or this website. Our total aggregate liability for any claim is limited to the fees you paid us for the specific service giving rise to the claim.

As Is Warranty Disclaimer

This website and all services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure, or that any specific results will be achieved.

Indemnification

You agree to indemnify and hold harmless Sweetgrass and its members, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the website, your breach of these terms, your infringement of a third party's rights, or the content or materials you provide to us for use in a project.

Force Majeure

We are not liable for any delay or failure to perform our obligations when caused by circumstances beyond our reasonable control, including acts of God, natural disasters, internet or hosting outages, third-party service failures, labor disputes, governmental actions, or other force majeure events.

Dispute Resolution & Binding Arbitration

These terms and any dispute arising out of or relating to them or our services are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy will be resolved by binding individual arbitration, rather than in court, except that either party may bring small-claims matters in the appropriate Oklahoma court. The arbitration will be conducted by a single arbitrator in Oklahoma, with the administrator to be mutually agreed upon by the parties at the time of the dispute. You and Sweetgrass agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding, and the parties waive any right to a jury trial.

General Provisions

If any provision of these terms is found unenforceable, the remaining provisions will continue in full force and effect (severability). These terms constitute the entire agreement between you and Sweetgrass regarding use of this website and our services, superseding any prior agreements. We may amend these terms from time to time; continued use after changes constitutes acceptance. You may not assign these terms without our consent. Any notices to us should be sent to support@sweetgrassgrowth.com.
